Force Majeure: The Sellers shall not be responsible for the delay in
shipment due directly or directly to force majeure including mobilization,
war, riots, civil commotions, hostilities, blockades, requisition of vessels,
prohibition of export, fires, floods, earthquakes, tempests, strikes, lockouts and
any other contingencies, which prevent shipment within the period stipulated.
In the event of any of the aforesaid causes arising, documents proving its
occurrence or existence shall be submitted by the Sellers to the Buyers
without delay and furnish a certificate substantiated by the Korea Chamber
of Commerce and Industry.
『불가항력: 매도인은 동원, 전쟁, 폭동, 내란, 교전, 봉쇄, 선박 징발, 수출 금
지, 화재, 홍수, 지진, 폭풍우, 파업, 작업장 폐쇄 및 약정된 기간 내의 선적을
방해하는, 기타 모든 우발 사고를 포함하는 불가항력의 직․간접적인 원인으로
인한 선적 지연에 대해서는 책임을 지지 않기로 한다. 앞의 원인이 발생한
경우에는 매도인은 즉시 이의 발생 또는 존재했던 사실을 증명하는 서류,
즉 대한상공회의소의 실사 증명서를 매수인에게 발송하기로 한다.』
▮ 주요 내용 해설
◾Agreement on General Terms and Conditions :「일반거래조건 협정서」같은 내용의 제
목으로「Memorandum of Terms and Conditions of Business」(거래조건 각서)가 사용됨.
- agreement(=memorandum : 협정서, 합의서, 각서)
- shall(법률, 규칙 등에 사용되는 입법의 shall) : ～하기로 한다, ～으로 한다.
◾ Business : 거래 또는 거래의 형태, 사업.
◾ as principal to principal :「본인 대 본인으로」거래형태를 말하는 것으로 양 당사자는
각기 주체성을 가지고 거래함을 뜻함.
cf) principal to agent : 본인 대 대리인, agent to agent : 대리인 대 대리인.
◾ one's own account : (각자) 자신의 계산으로
◾ supply A with B(=supply, provide, favor, furnish) : A에게 B를 공급하다, 제공하다.
◾ free of charge(=gratis, for nothing, without payment) : 무료로, 무상으로.
cf) samples free of charge(무상견본), samples of commercial value(유상견본).
◾ quality(terms) : 품질(조건) cf) landed quality terms(선적품질조건)→ INCOTERMS 2010.
shipped quality terms(양육품질조건)→ INCOTERMS 2010.
◾ unless otherwise specified : 별도로 명시되지 않는 한.
cf) unless expressly agreed upon : 명시적으로 합의되지 않는 한.
unless by mutual consent : 상호 동의 없이는.
◾ remain effective(=be valid, be good, be open) : 유효하다.
◾ exclude : 배제하다, 제외하다, except in cases where : ～한 경우를 제외하고는.
◾ subject to(=conditional on, conditionally on) : ～을 조건으로 하는/하여.
◾ discount(=allowance, concession, deduction, reduction) : 가격할인.
◾ carry out(=execute, fulfil, complete, accomplish, perform) : 실행(이해)하다.
◾ running(case) number(=serial number, consecutive No.) : 일련번호.
◾ shipment is to be made(by seller) : 선적이 이행되어야 한다.
◾ make shipment(=effect shipment, ship) : 선적을 이행하다.
◾ except in circumstances : 사정이 있는 경우 외에는, be at one's option:～가 선택한다.
◾ taken as conclusive proof : 결정적인 증거로 간주되다.
◾ beyond the seller's control : 매도인 측에서는 어쩔 수 없는, 불가항력의.
◾ in the event of(=in case of) : 만일 ～의 경우에는.
◾ force majeure : 불가항력, cf) Acts of god(천재지변).
◾ in be responsible for(=answer for) : ～에 대해 책임을 지다.
◾ mobilization : 동원. riot : 폭동, 소동, civil commotion : 내란, hostilities : 적재행위.
blockades : 봉쇄, requisition : 필요조건, 요구, prohibition : 금지, tempest : 대폭풍우
lockout : 작업장 폐쇄, contingencies : 우연성, 우발사고.
◾ in aforesaid : 앞서 말한, 언급한, occurrence : 발생, 사건, 사고, existence : 존재.
◾ cover : ～조건으로(on) 보험에 들다, payable(=must be paid) : 지급해야 하는.
◾ claims payable at Los Angeles : 손해배상 청구액의 지급지는 LA로 한다.
배상청구액은 LA에서 지급되어야 한다.
◾ SRCC : strikes, riots and civil commotions(동맹파업, 폭동, 시민소요).
◾ for account of(=at the account of～) : ～의 계정으로, ～의 비용부담으로.
cf) on their own account(=for their own purposes and their own risk)
: 자신의 목적을 위해, 자신의 위험을 부담해서, 각자의 계산으로.
◾ I.C.C.(=Institute Cargo Clause) : 협회화물약관
cf) ICC(A)→ All Risks : 전위험담보.
ICC(B) : Institute Cargo Clauses (B)→ With average(WA) : 단독해손담보조건.
ICC(C)→ Free From Particular Average(FPA) : 단독해손부담보조건.
Total Loss(전손) - Actual Total Loss, Constructive Total Loss.
Partial Loss(분손) - Particular Average Loss, General Average Loss.
◾ under(=based on, in compliance with) : ～에 의거하여, ～과 일치하도록.
◾ open(= issue, arrange, establish an L/C) : 신용장을 개설(발행) 하다.
◾ in favor of one(=in one's favor) : ～앞으로, ～를 수익자로 하여,
◾ Bill of Lading : 선하증권. Insurance Policy : 보험증권. Commercial Invoice : 상업송장
◾ made out : 작성된, make out(=write out, fill in, complete) : 작성하다.
◾ country of origin : 원산지. cf) Certificate of Origin : 원산지증명서.
◾ claims : 보험금(↔premium). cf) 손해배상청구.
◾ TPND(=theft, pilferage and non－delivery) : 도난, 발하 불착위험(ICC(A) 담보).
◾ be valid(=be effective, be open, be good) : 유효하다.
◾ can not be amicable settled : 자치적(우호적)으로 해결될 수 없다면.
◾ whose award : 중재인(arbitrator)의 판정.
◾ cf) Amicable settlement(화해), Compromise(타협), Intercession(알선),
Mediation, Conciliation(조정), Arbitration : 중재, Litigation, Suit(소송).
